Terms of Service
These terms cover use of bobasync.com and the BobaSync platform. By using the service you agree to them. If anything is unclear, email support@bobasync.com before signing up.
1. Who we are
BobaSync LLC is a limited liability company based in San Diego, California, USA, operating under the trade name "BobaSync." References to "BobaSync," "we," "us," and "our" mean BobaSync LLC. References to "you" and "your" mean the individual or business using the service.
2. The service
BobaSync provides an AI-powered ordering and inventory platform for boba (bubble tea) shops, suppliers, and the people who run them. The platform may include account management, ordering, invoicing, delivery scheduling, messaging, AI assistance, and reporting features.
We may add, change, or remove features from time to time. If a change materially affects how you use the service, we'll let you know in advance when reasonable.
3. Your account
- You must provide accurate information when creating an account.
- You are responsible for keeping your password secure and for all activity under your account.
- You must be at least 16 years old (or the age of majority where you live) to create an account.
- One person or business per account unless you specifically use a multi-location plan.
4. Acceptable use
Don't use BobaSync to:
- Break the law or any contract you have with someone else
- Send spam, harass others, or transmit malware
- Reverse-engineer, scrape, or attempt to bypass security or rate limits
- Resell, sublicense, or wrap the service in another product without written permission
- Upload content you don't have the right to upload
We may suspend or terminate accounts that violate these rules, or that put the service or other users at risk.
5. Pricing and payment
Pricing for paid features is shown in the app or website at the time of sign-up. We may change pricing in the future and will give reasonable notice before any change affects you. If you don't agree to a price change, you can cancel before it takes effect.
Pilot programs and free tiers may have specific terms (e.g. a 6-month pilot, commission caps, free-month introductory periods). These will be communicated in writing or shown in the app.
6. Your content and data
You own your business data. Inventory records, customer lists, supplier relationships, orders, invoices, and similar — all yours. We don't claim ownership.
By uploading content to BobaSync you grant us a limited license to host, process, and display it solely so we can operate the service for you. We do not use your business data to train AI models or sell it to third parties.
You are responsible for the legality of the content you upload. Don't upload anything you don't have the right to.
7. Our intellectual property
BobaSync's software, design, brand, and documentation are ours. You get a limited, non-exclusive, non-transferable right to use them as part of the service — that's it.
8. Service availability
We work hard to keep the service running, but we don't guarantee uninterrupted uptime. Things break, providers go down, and the internet has bad days. We're not responsible for outages caused by third parties (e.g. hosting providers, ISPs).
Where commercially reasonable, we will give advance notice of planned maintenance.
9. Disclaimers
The service is provided "as is" and "as available." We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or fit for your specific business needs.
BobaSync provides operational tooling. Business decisions you make with our help — including ordering, pricing, supplier choices, hiring, scheduling, financial records — remain your responsibility. Always sanity-check AI suggestions and financial figures before relying on them.
10. Limitation of liability
To the maximum extent permitted by law, BobaSync's total liability to you for any claim arising out of or relating to these terms or the service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) USD $100.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold BobaSync harmless from any claim, loss, or expense (including reasonable legal fees) arising out of (a) your breach of these terms, (b) your violation of any law or third-party right, or (c) content you upload to the service.
12. Termination
You can stop using the service at any time. To delete your account, log in and delete it, or email support@bobasync.com.
We can suspend or terminate accounts that violate these terms, with reasonable notice when possible. If we terminate your account for a reason other than your breach, we will help you export your data.
13. Governing law and disputes
These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in San Diego County, California, and you consent to that jurisdiction.
14. Changes to these terms
If we make material changes we will post the updated terms here, update the effective date, and notify you by email or in-app. Continued use of the service after changes take effect means you accept the new terms.
15. Miscellaneous
These terms (together with the Privacy Policy) are the entire agreement between us. If a court finds any part unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
